Job Description

The Senior Director, Corporate Counsel LATAM Region will lead and manage a team providing regional internal legal support and coordination on a wide and diverse range of matters including commercial, competition, compliance, corporate, employment, governance, IP, litigation, and regulatory.

The LATAM Legal Department works under a responsibility matrix and in addition to lead geographic responsibilities, the Regional Senior Corporate Counsel may have additional pan-

LATAM responsibilities, e.g. legal subject matter expert, and / or business partner for one or more of the several business divisions.

Key responsibilities :

  • Lead responsibility for all legal matters and support in the geographic region
  • Work closely with various business divisions in the Region to manage wide range of commercial contracts including simple (e.
  • g. Ts & Cs, NDAs) through to a focus on complex (e.g. bespoke transactions, licences etc.) covering full spectrum of operational business issues

  • Work with LATAM and Global Legal Department to help create, develop, implement and maintain a risk-based compliance program with consistent and effective policies and procedures that balance the overall corporate philosophy of the company with local country (i.
  • e. within Region) specific laws, rules, culture; provide associated legal advice

  • Plan and as required, deliver risk-based training program including competition law, compliance training; implementation of intranet-
  • based range of templates for nominated users

  • Work closely with Company Secretarial Department and Tax / Treasury Department on general corporate and governance matters related to legal entities (board meetings, corporate filings etc.
  • and (under a standard slate of statutory directors) act as a statutory director of multiple legal entities domiciled in Region

  • Work closely with HR Department in the Region on general employment issues including realignments, restructurings, termination issues, employment contracts, other issues common to HR and Legal (e.g. litigation reports)
  • Work closely with other members of LATAM Legal Department on various pan-LATAM matters
  • Work closely with Global Legal Department including Group GCs and other lead lawyers (e.g. company secretarial, compliance, employment, IP, litigation, M&A, regulatory) on regional, LATAM or global issues
  • This leader sets a high bar for performance and develops others in their wake. This individual can align and influence through direct and indirect authority, and communicates effectively across teams, functions, and regions
  • Work closely with business groups and divisions on variety of regulatory issues (e.g. promotional practices, policies, product labelling, etc.)
  • Work closely with the business groups and divisions and Facilities Department within the region on real property leases and facility projects
  • Effectively establish and manage relationships with external counsel for the Region.
  • Build a high performing team to provide Regional internal legal support and coordination
  • Develop and implement an annual operating plan for the Region to include staffing plans and budget, including outsourced services.
  • Monitor and review budget spending on a periodic basis

    Experience and Skills :

  • Intellectually strong and qualified as a lawyer in a jurisdiction within the Region and from an internationally recognized University / law school with qualification to practice in the Region and particularly to practice in major economy / economies of the Region
  • At least 10 years’ experience preferably representing life science, fast moving consumer goods, other relevant regulated-
  • sector companies, either multinational company legal department

  • Previous experience working with international law firm preferred
  • Solid experience of working with major US-domiciled corporations and business, varies legal approaches, and cross-functional multinational and multicultural teams
  • Excellent business sense with innate good judgement and strong influencing skills
  • Ability to develop practical processes / approaches, and to drive solutions to completion
  • Experience in team building and management, excellent communication / negotiation skills, diplomatic and strong presence, enthusiastic self-
  • starter, flexible mindset

  • Fluent in spoken and written English and Spanish (additional language(s) an advantage)
  • Travel within the region and in LATAM is estimated at 40%
